Terms and conditions
The agreement between you and us when you use TideWright.
Draft: details still to be filled in
This page is not final.The highlighted values in square brackets are still to be filled in.
1. These terms
These terms are an agreement between you and [Company legal name], [Registered address] (“we”, “us”), for your use of TideWright. By signing in or using TideWright you accept them. If you use TideWright for an organisation, you accept them for that organisation and confirm you are allowed to.
Our privacy policy and cookie policy explain how we handle personal data and cookies.
2. The service
TideWright lets teams describe work and have crews of AI agents carry it through spec, design, code, review, test and release, with people approving the checkpoints. We may change, add or remove features. We will give reasonable notice before removing something you rely on.
3. Accounts and orgs
- You sign in with a GitHub account and must keep it secure. You are responsible for what happens under it.
- Org admins control who belongs to their org, which repositories it connects, its model keys and connectors, and its spending caps.
- You must be at least 16 and able to enter a binding contract.
4. Your content and code
You keep every right you have in your content: tasks, specs, designs, comments, files and repository code. As between you and us, the code and other output agents produce for you are yours too. You give us permission to host, copy, process and transmit your content only as needed to run TideWright for you.
You confirm you have the right to connect each repository and to let agents read and change it. We do not use your content to train AI models.
5. AI agents and their output
Agents can be wrong. Code, specs, designs and reviews they produce may contain mistakes, security flaws or material that others have rights in, and similar output may be produced for other people. You decide what to approve, merge and release, and you are responsible for reviewing it first. Checkpoints exist so that a person makes those calls.
When runs use your org's own model keys, your agreement with that model provider also applies, and its charges are yours.
6. Acceptable use
You must not use TideWright to:
- break the law or infringe anyone's rights;
- build malware, attack systems or get around security, including TideWright's own sandboxes and limits;
- send spam, or harass or harm anyone;
- overload the service, or access it other than through the means we provide;
- break the usage policies of the model providers whose models your runs use.
We may stop runs and suspend accounts or orgs that break these rules, with notice where we reasonably can.
7. Fees and usage
We do not charge for TideWright today. If we introduce fees, we will tell you at least 30 days before, and you will not be charged unless you agree to them.
We may give your org a monthly allowance of model usage on TideWright's own keys, and change or withdraw it. Usage also counts against the caps your org sets, and a run that reaches a cap or the allowance stops.
8. Third-party services
TideWright works with services we do not control, such as GitHub, model providers and the connectors your org turns on. Their own terms apply to your use of them, and we are not responsible for them.
9. Feedback
If you send us ideas or feedback, we may use them to improve TideWright without owing you anything for them.
10. Ending
You can stop using TideWright at any time, and ask us to delete your account at [Contact email]. We may suspend or end your access if you seriously or repeatedly break these terms, or if the law requires it. When an org's access ends, its admins can ask for an export of its content within 30 days, after which we delete it as our privacy policy describes.
11. Disclaimers
TideWright is provided “as is” and “as available”. To the extent the law allows, we make no promise that it will be uninterrupted or error-free, or that agent output will be correct, secure or fit for a particular purpose.
12. Limitation of liability
To the extent the law allows, we are not liable for indirect or consequential loss, or for loss of profits, revenue, data or goodwill. Our total liability for all claims under these terms is limited to the greater of the amount you paid us in the 12 months before the claim and 100 US dollars.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or any other liability that cannot be limited by law, and nothing affects your rights as a consumer.
13. Your responsibility for claims
If someone brings a claim against us because of content or code you connected to TideWright, or because you used it in breach of these terms, you will cover our reasonable costs of that claim. This does not apply to consumers.
14. Changes to these terms
We may update these terms. We will post the new version here and, for significant changes, tell you in the app at least 30 days before they take effect. If you keep using TideWright after that, the new terms apply; if you do not agree, you can stop using it.
15. General
- These terms, with the policies they link to, are the whole agreement between you and us about TideWright.
- If a court finds part of them unenforceable, the rest still applies.
- If we do not enforce a term straight away, we can still enforce it later.
- You may not transfer these terms to someone else without our agreement. We may transfer them as part of a merger or sale of our business.
16. Governing law
These terms are governed by the law of [Governing law and courts], and its courts have exclusive jurisdiction over any dispute, except where the law where you live gives you the right to bring a claim there.
17. Contact
